Notice is hereby given that the 2017 Annual General Meeting (AGM) of the Positive Education Schools Association Ltd (ACN 168 259 096) (PESA) will be held:

The Notice of AGM 2017, which includes the AGM Agenda, is attached for your information.

Please note that the following three directors will retire by rotation at the end of this AGM and therefore their positions on the Board will fall vacant:

(i)     Mrs Anne Johnstone (Principal, Ravenswood School for Girls, NSW)
Mrs Johnstone has indicated that she WILL seek reappointment

(ii)     Mr Steven Bowers (Principal, Burgmann Anglican School, ACT)
Mr Bowers has indicated that he WILL seek reappointment

(iii)   Dr Julie Townsend (Principal, St Catherine’s School, NSW)
Dr Townsend has indicated that she WILL NOT seek reappointment

There is one additional Board vacancy, so a total of four Directors may be appointed at the upcoming AGM.

In anticipation of the upcoming AGM, the attached statements have been provided by each of the Director candidates in support of their nominations.

Should you wish to nominate yourself, or another person, as a candidate for election as a Director, please read the attached Information for Director Nominees.

Please note that nominations must:

  • be made in writing and signed by 2 Members; and
  • include by the written consent of the nominee,

in the form of the attached proforma documents:

The candidate must also complete and sign the attached Director’s Declaration form.

These must then be delivered to me, as Company Secretary, at least 7 days prior to the AGM date.  Directors are usually appointed for a term of 3 years.

I also suggest a nominee’s statement be forwarded to me by the nominee in support of the nomination, outlining the nominee’s background, qualifications and interest in serving on the PESA Board.  All forms must be delivered to me by noon on 9 March 2017.

If the number of nominations received is equal to the number of vacancies to be filled, the nominees will be automatically appointed as from the end of the AGM.

If the number of nominations received exceeds the number of vacancies to be filled, a ballot will be conducted at the AGM.  Nominees elected by ballot will be appointed at the end of the AGM.

Nominees must be current Members of PESA and must remain Members at all times during which they hold office.

If you are unable to attend the AGM, you may appoint a proxy.  The Proxy Appointment Form 2017 is attached to this email.  Completed and signed proxy appointment forms must be delivered to PESA Ltd, PO Box 855 Mornington, Vic, 3931, Australia or emailed to contact@pesa.edu.au by 12.25pm on 15 March 2017.  Forms received after this time will be invalid.
